Tourex Merchant Terms & Conditions

These Terms and Conditions (“Agreement”) govern your access to and use of the TOUREX application (“TOUREX App”), a reselling platform developed and operated by Plankton Distribution (Pty) Ltd (“Plankton”, “we”, “us”, or “our”), hosted on FNB Android-based payment devices. By using the TOUREX App, you (“Merchant”, “you”, or “your”) agree to be bound by this Agreement.
1. DEFINITIONS
- TOUREX App: The software platform enabling the resale of tourism-related inventory via FNB Android payment devices.
- Inventory Owner: The original supplier or provider of tourism products (e.g., park entry, accommodation, activities).
- End Customer: The individual purchasing tourism products via the TOUREX App.
- Commission: The reseller’s share of the transaction, as determined by the pricing strategy of the Inventory Owner and Plankton.
- Plankton Distribution: The technology provider and aggregator managing TOUREX inventory and payouts.
2. USE OF THE TOUREX APP
2.1 You are authorized to use the TOUREX App solely for the purpose of reselling approved tourism products.
2.2 You may not resell products outside of the TOUREX App or circumvent the TOUREX system in any way.
2.3 Plankton reserves the right to suspend or terminate access to the TOUREX App for breach of these terms or for suspected abuse, fraud, or misrepresentation.
3. PAYMENT & COMMISSION
3.1 All transactions via TOUREX are processed through the integrated payment gateway on the device.
3.2 You will receive a commission for each valid transaction processed through the App. Commission structures are set per product and viewable in the TOUREX merchant dashboard.
3.3 Net payouts (after deduction of any applicable commissions and fees) will be made to the bank account linked to your FNB merchant profile on a scheduled basis, typically weekly unless otherwise agreed.
3.4 You are responsible for ensuring your bank account details are accurate and current.
4. CANCELLATION AND REFUNDS
4.1 All cancellations and refund requests must be referred directly to the Inventory Owner. TOUREX does not handle or approve refunds.
4.2 Any commission paid to the Merchant for cancelled transactions may be reversed or deducted from future payouts.
5. INVENTORY AND PRICING
5.1 All inventory, pricing, and availability are controlled by the Inventory Owner. You agree not to manipulate or misrepresent product information.
5.2 You may not alter the price of inventory listed in the TOUREX App.
6. RISKS AND LIABILITY
6.1 Plankton is not responsible for:
- Fulfilment of inventory or service delivery to the End Customer.
- Losses arising from inaccurate data supplied by Inventory Owners.
- Any damages or claims arising between you and the End Customer.
6.2 You agree to indemnify and hold harmless Plankton, FNB, and Inventory Owners from any third-party claims arising from your misuse of the platform.
7. DATA & PRIVACY
7.1 TOUREX processes transactional and operational data in accordance with data privacy laws. Plankton will not share your personal data except where necessary for transactional processing or as required by law.
8. TERMINATION
8.1 You may cease use of the TOUREX App at any time.
8.2 Plankton may suspend or terminate your access to the TOUREX App without notice for breach of this Agreement, non-compliance, or operational necessity.
9. GENERAL
9.1 This Agreement is governed by the laws of the Republic of South Africa.
9.2 Any disputes shall be resolved via arbitration or in a court of competent jurisdiction in Cape Town, South Africa.
9.3 These Terms may be updated from time to time. Continued use of the TOUREX App implies acceptance of the latest version.
ACCEPTANCE
By continuing to use the TOUREX App, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
